Tutor Agreement & Terms

This Agreement governs your use of the Mathos Tutors Ltd platform as an independent tutor.

1. Introduction

This Tutor Agreement ("Agreement") governs your use of the Mathos Tutors Ltd platform ("Mathos", "the Company", "we", "us", "our") as an independent tutor.

By registering as a tutor, accepting bookings, or receiving payment through the platform, you agree to be legally bound by this Agreement.

If you do not agree, you must not use the platform as a tutor.

2. Independent Contractor Status

You acknowledge and agree that:

  • You act as an independent contractor
  • Nothing in this Agreement creates employment, partnership, joint venture, or agency between you and Mathos
  • You are responsible for your own tax, National Insurance, and regulatory obligations
  • You are not entitled to employee benefits, holiday pay, sick pay, pension, or other statutory employment rights from Mathos

You are solely responsible for declaring and paying any applicable taxes arising from your tutoring services.

3. Tutor Eligibility Requirements

To use the platform, you must:

  • Be at least 18 years old
  • Hold a valid DBS certificate
  • Maintain valid professional indemnity insurance with a minimum cover of £1,000,000
  • Provide accurate and truthful information regarding qualifications and experience
  • Disclose any criminal convictions or cautions, including any received after registration

You agree to keep your DBS and insurance information up to date. You must promptly inform Mathos of any change in circumstances that may affect your suitability to tutor, including any new criminal convictions, cautions, or ongoing investigations.

4. Automatic Deactivation

Mathos operates automated compliance checks.

Your account will be automatically deactivated if:

  • Your DBS certificate expires
  • Your insurance expires
  • Required documentation is not renewed within the warning period

A warning may be issued up to 30 days prior to expiry. Failure to update documentation will result in suspension of booking access.

5. Setting Your Rate

You may set your own hourly rate.

Once a recurring booking is accepted:

  • The agreed rate is locked for that booking
  • Any rate change applies only to future bookings
  • Existing recurring bookings are not automatically updated

6. Commission & Payment

Mathos charges a 20% platform commission on session revenue. This commission is deducted automatically before tutor payout.

Parents pay only the hourly rate displayed. The platform commission is internal and not added to the parent's charge.

Payouts are calculated at the end of each calendar month for all completed sessions in that month. Payment is processed in the following calendar month via Stripe to your connected account.

By using the platform, you agree to be bound by Stripe's Connected Account Agreement, as may be amended by Stripe from time to time. You authorise Mathos to share your information and transaction data with Stripe for the purpose of processing payments.

Mathos is not responsible for delays caused by Stripe or banking institutions.

7. Booking & Cancellation Rules

Single Lessons

  • If a parent cancels more than 24 hours before the session, the session is refunded and no payout is made
  • If a parent cancels less than 24 hours before the session, no refund is issued and you are paid
  • If you cancel at any time, the parent receives a full refund and you are not paid
  • If a student does not attend, no refund is issued and you are paid

Recurring Bookings

  • If a recurring booking is cancelled, future sessions are cancelled
  • Pro-rata adjustments are handled via Stripe
  • Sessions already completed remain payable

8. Tutor Conduct

You agree to:

  • Deliver sessions professionally
  • Maintain appropriate safeguarding awareness
  • Conduct sessions in a safe and respectful manner
  • Avoid inappropriate language or conduct
  • Not contact students outside the platform without parental consent
  • Ensure your session environment is appropriate and free from inappropriate or offensive images, documents, or content visible on screen

You must not:

  • Harass or discriminate against users
  • Share inappropriate material
  • Circumvent the platform to take payment outside Mathos
  • Independently record, store, or distribute any part of a tutoring session without the prior written consent of all participants

9. Non-Circumvention

You agree not to:

  • Accept payment directly from parents introduced via Mathos
  • Encourage parents to bypass the platform
  • Conduct sessions privately with platform-introduced clients for the purpose of avoiding commission

This restriction applies during your use of the platform and for 6 months after your last session with a parent introduced via Mathos.

Breach may result in permanent suspension and legal action.

10. Safeguarding Obligations

You agree to:

  • Maintain an active DBS certificate
  • Maintain valid insurance
  • Report safeguarding concerns promptly via the platform
  • Cooperate with safeguarding investigations

Safeguarding records are retained permanently in accordance with UK compliance standards. Mathos may refer safeguarding concerns to relevant authorities where required.

11. Intellectual Property

You retain ownership of materials you personally create during sessions.

Mathos retains ownership of:

  • Platform software
  • Assignment generation system
  • Question bank content

You grant Mathos a non-exclusive licence to store and display session-related materials where necessary to operate the platform.

12. Account Suspension & Termination

Mathos may suspend or terminate your account where:

  • DBS or insurance expires
  • You breach this Agreement
  • Safeguarding concerns arise
  • Fraud or misconduct is suspected
  • A criminal conviction, caution, or investigation is disclosed or discovered

Where a safeguarding concern or allegation of illegal activity is reported, your account will be immediately suspended pending investigation. Mathos may refer the matter to relevant authorities including the Police, LADO, or Social Services. You will be informed of the suspension and, where appropriate, the outcome of any investigation.

Tutors found to have engaged in illegal activity may be permanently barred from the platform and reported to the relevant authorities.

13. Data Protection

Tutor data is processed in accordance with the Mathos Privacy Policy.

You acknowledge that:

  • Session records are retained for compliance
  • Financial records — including your name and email address — are retained for a minimum of 7 years for HMRC compliance, including after account deactivation
  • Audit logs may be retained indefinitely

14. Limitation of Liability

To the fullest extent permitted by law:

  • Mathos is not liable for indirect or consequential loss
  • Mathos does not guarantee booking volume or income
  • Mathos' total liability to you shall not exceed the total commission retained from your sessions in the preceding three months

Nothing excludes liability that cannot legally be excluded under UK law.

15. Indemnity

You shall indemnify and hold harmless Mathos Tutors Ltd, its directors, officers, and agents against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your delivery of tuition services
  • Any breach of this Agreement by you
  • Any negligent or wrongful act or omission by you
  • Any claim brought by a parent, student, or third party relating to your conduct or services

This indemnity survives termination of this Agreement and applies regardless of whether your account is active or suspended.

16. Platform Availability

Mathos does not guarantee uninterrupted service or minimum booking levels. We may suspend the platform for maintenance, upgrades, or security purposes.

17. Changes to This Agreement

Mathos may update this Agreement from time to time. Where changes are material, we will notify you via email or platform notice before the changes take effect. If you do not agree with the updated Agreement, you may contact us to discuss your concerns or deactivate your account.

18. Communications

By registering on the platform, you agree that Mathos may contact you via your registered email address for purposes including:

  • Onboarding and getting started on the platform
  • Operational matters relating to your account, bookings, or payouts
  • Platform updates, new features, or scheduled maintenance
  • Safeguarding or compliance matters
  • Changes to this Agreement or related policies

You are responsible for keeping your registered email address up to date. Mathos is not liable for communications missed due to an outdated or incorrect email address.

In-app messaging between you and parents:

  • Is visible within the platform for 24 hours
  • Is retained for up to 90 days for safeguarding and compliance
  • May be accessed by admin for safeguarding, dispute resolution, or investigation purposes

19. Severability

If any provision of this Agreement is found to be invalid or unenforceable by a court of law, the remaining provisions shall continue in full force and effect.

20. Governing Law

This Agreement is governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
